Terms of Service
1. Acceptance of Terms
These Terms of Service ("Terms") govern the engagement of Full Service CFO ("Full Service CFO," "we," "us") by a client ("Client," "you") for outsourced accounting, controlling, and/or CFO-level financial services (the "Services"). By signing an engagement letter or statement of work with Full Service CFO, or by using the Services, you agree to these Terms.
2. Definitions
- "Services" means the Accounting, Controlling, and/or CFO-tier services described on our Services page and in the applicable engagement letter, which governs the specific scope for your engagement.
- "Client Data" means the financial records, bank and payment-processor data, payroll data, and other business information Client provides or grants access to in order for Full Service CFO to perform the Services.
- "Confidential Information" means non-public information disclosed by either party in connection with the Services, including Client Data. [LEGAL REVIEW: confirm standard exclusions — publicly available info, independently developed info, etc.]
3. Description of Services
Full Service CFO provides tiered outsourced finance services — Accounting, Controlling, and CFO — each cumulative on the prior tier, as described on our Services page. The specific scope, deliverables, and tier for a given engagement are set out in the applicable engagement letter or statement of work, which controls in the event of any conflict with the general descriptions on this website.
4. Client Responsibilities
You agree to provide timely access to the systems, accounts, and documents reasonably necessary for Full Service CFO to perform the Services (e.g., QuickBooks, Stripe, Gusto, bank accounts, and relevant internal records — see our Onboarding page), and to provide accurate and complete information. Delays or inaccuracies in access or information may delay deliverables or affect their accuracy.
5. Fees & Payment
Fees are billed monthly in advance and are due on the 1st of each month, per the applicable engagement letter. Our engagements are month-to-month with no long-term contract required, and either party may terminate per Section 8 below. An onboarding fee may apply for new engagements, as described on our Pricing page. Work outside the scope of your tier is billed at the hourly rates stated on the Pricing page at the time the work is performed. [LEGAL REVIEW: confirm late-payment terms, e.g. interest/suspension-of-services policy for overdue invoices]
6. Performance
Full Service CFO will perform the Services using the degree of skill and care generally exercised by outsourced accounting and finance professionals under similar circumstances. [LEGAL REVIEW: confirm any specific performance standards, SLAs, or turnaround-time commitments from the actual contract] Full Service CFO does not guarantee any specific financial outcome, fundraising result, or business result from the Services.
7. Confidentiality
Each party agrees to keep the other's Confidential Information, including Client Data, confidential, and to use it only as necessary to perform or receive the Services. This obligation survives termination of the engagement. [LEGAL REVIEW: confirm confidentiality survival period and any carve-outs (e.g., disclosure required by law or to Client's own CPA/auditors)]
8. Term & Termination
Engagements are month-to-month. Either party may terminate with [LEGAL REVIEW: insert required notice period, e.g. "30 days' written notice"]. Fees for Services performed through the effective date of termination remain due. [LEGAL REVIEW: confirm any offboarding/transition-assistance obligations]
9. Return of Property
Upon termination, Full Service CFO will provide Client with access to or copies of Client's financial records and data maintained on Client's behalf (e.g., QuickBooks file, supporting documentation) within [LEGAL REVIEW: insert timeframe, e.g. "30 days"] of termination, subject to payment of any outstanding fees. Each party will return or destroy the other's Confidential Information in its possession upon request, except as required to be retained by law or standard record-keeping practice.
10. Data Access & Third-Party Integrations
Performing the Services requires Full Service CFO to access and, where the Services require it (e.g., bill pay, bookkeeping entries, chart-of-accounts setup), make changes within Client's QuickBooks, Stripe, Gusto, bank, and other connected accounts — this is not a read-only engagement, unlike a pure analytics tool, because the Services themselves include performing bookkeeping and bill-pay actions on Client's behalf. [LEGAL REVIEW: confirm the precise scope of write access per platform, and reference any applicable data processing addendum if Client requires one]
11. Indemnification
[LEGAL REVIEW: insert indemnification clause — typically mutual or one-way, covering claims arising from a party's breach of these Terms, negligence, or (for Client) the accuracy of information/documents provided to Full Service CFO]
12. Limitation of Liability
[LEGAL REVIEW: insert standard limitation-of-liability clause — typically capping aggregate liability at fees paid in the preceding [X] months and excluding indirect/consequential damages, subject to any non-waivable exceptions]
13. Disclaimers
Full Service CFO provides outsourced accounting, controlling, and CFO advisory services. We are not a law firm, and nothing we provide constitutes legal advice. Tax return preparation is performed by Client's own CPA; we support that process but do not file returns on Client's behalf unless expressly agreed in the engagement letter. [LEGAL REVIEW: confirm whether Full Service CFO staff hold CPA licensure and whether any additional professional-services disclaimers are required]
14. Governing Law & Dispute Resolution
[LEGAL REVIEW: given the Utah HQ, these Terms will likely be governed by Utah law, with a specified venue and, if desired, an arbitration clause — all to be confirmed against the actual signed contract and finalized by counsel]
15. Changes to These Terms
Full Service CFO may update these Terms from time to time for new engagements. Terms for an active engagement are governed by the version in effect at the time the engagement letter was signed, unless otherwise agreed in writing.
